This mobile application ECTO (the “App”) is owned and operated by S.S. Solutions, a proprietorship firm (the “Company”, “we”, “us”, “our”). By downloading, installing, or using this App, you (“You”, “Your”, or “User”) agree to be bound by the terms and conditions set forth below (the “Terms”). If You do not accept these Terms, please do not use this App. The Company reserves the right to revise these Terms at any time, and we will endeavor to notify you of any material changes.

This document is an electronic record under the Information Technology Act, 2000, and is generated by a computer system, requiring no physical or digital signatures.

The Company provides a technology-based software platform via the App that connects users seeking transportation with independent third-party auto-rickshaw drivers (“Drivers”). The App enables You to find and book services offered by these Drivers. These Terms govern the relationship between You and the Company concerning the use of the App.

1. Registration and Account

* To use our Services, You must register for and maintain an active personal user account (“Account”). This requires providing certain personal information, such as your name, mobile phone number, and any other information as prompted during registration (“Registration Data”).

* You confirm that the Registration Data provided by You is accurate, complete, current, and true. The Company shall bear no liability for false, incomplete, or incorrect Registration Data provided by You.

* The App is intended solely for users who are eighteen (18) years of age or older and are competent to enter into a contract under the Indian Contract Act, 1872.

* You are responsible for all activity that occurs under Your Account and agree to maintain the security and confidentiality of Your Account username and password at all times. Your Account is non-transferable.

* We reserve the right to suspend or terminate Your Account immediately if we believe that Your Registration Data is incorrect, your account's security has been compromised, or for any other reason we deem just and equitable.

* You may only possess one Account. In case of any unauthorized use of Your Account, please immediately contact us at contact@ectoindia.com.

2. The Software and Services

* The App enables You to find and send a booking request to Drivers who are available in your vicinity.

* You agree that: (i) You will use the App for your personal use only and will not resell it; (ii) You will not use the App for any unlawful purposes; (iii) You will not intentionally harm, impair, or disrupt the App or the service; and (iv) You will comply with all applicable laws of India.

* The Company is a technology platform and does not provide transportation services. The Drivers are independent contractors, not employees or agents of the Company.

* The quality, safety, and timely provision of the transportation service are the sole responsibilities of the Driver. The Company bears no responsibility for the non-completion of rides, delays, driver behavior, or losses suffered by You as a consequence of the service provided by the Driver.

* Any dispute between You and a Driver regarding a ride is to be settled between you both. The Company is not liable for such disputes.

* If You leave any personal belongings in a Driver's vehicle, it is Your responsibility to contact the Driver directly. The Company shall not be responsible for any loss or damage to such items.

3. Payment

* You shall be required to pay a fare for the transportation services you avail from a Driver. The estimated fare will be displayed on the App at the time of booking.

* The final fare may vary based on factors like actual distance, duration, tolls, applicable taxes, and surge pricing, if any.

* Payment can be made directly to the Driver in cash or through the electronic payment gateways (e.g., UPI, cards via Razorpay) available on the ECTO App.

* The Company facilitates the payment process but is not responsible for any payment disputes between You and the Driver or failures on the part of the payment gateway.

* You may receive a fare receipt in the App upon completion of your ride.

4. License Grant & Restrictions

* The Company grants You a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to access and use the App on your personal device solely in connection with your use of the Services.

* You shall not: (i) license, sell, resell, or commercially exploit the App; (ii) modify, reverse engineer, or make derivative works based on the App; (iii) create "links" or "mirror" the App on any other server; (iv) launch any automated program or script (like web spiders, bots, viruses) that may hinder the operation of the App; (v) send spam or unsolicited messages; (vi) attempt to gain unauthorized access to the App or its related systems.

* The Company reserves the right to investigate and prosecute violations of any of the above to the fullest extent of the law.

5. User Content

* You may be able to submit content such as feedback, comments, and ratings related to your experience ("User Content").

* By providing User Content, you grant the Company a worldwide, perpetual, royalty-free license to use, copy, modify, distribute, and otherwise exploit such User Content in any manner without further notice or payment to you.

* You warrant that your User Content will not be defamatory, hateful, violent, obscene, or unlawful, and will not infringe upon any third party's rights. The Company may, but is not obligated to, review, monitor, or remove User Content at its sole discretion, at any time, without notice.

6. Intellectual Property

* The Company shall own all right, title, and interest, including all related intellectual property rights, in and to the App and its software. These Terms do not convey to You any rights of ownership in the App.

7. Disclaimer of Warranties

THE APP AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE APP WILL OPERATE ERROR-FREE, OR THAT IT IS FREE OF COMPUTER VIRUSES OR OTHER HARMFUL MECHANISMS. THE COMPANY MAKES NO WARRANTIES ABOUT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF THE CONTENT, OR ABOUT THE QUALITY OR SUITABILITY OF ANY TRANSPORTATION SERVICES PROVIDED BY DRIVERS.

8. Limitation of Liability

THE COMPANY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, PERSONAL INJURY, OR PROPERTY DAMAGE RELATED TO ANY USE OF THE SERVICES. THE COMPANY SHALL NOT BE LIABLE FOR ANY DAMAGES, LIABILITY, OR LOSSES ARISING OUT OF: (I) YOUR USE OF OR RELIANCE ON THE SERVICES OR YOUR INABILITY TO ACCESS OR USE THE SERVICES; OR (II) ANY TRANSACTION OR RELATIONSHIP BETWEEN YOU AND ANY DRIVER. THE COMPANY HAS NO RESPONSIBILITY OR LIABILITY RELATED TO ANY TRANSPORTATION SERVICES PROVIDED TO YOU BY DRIVERS.

9. Indemnity

You agree to indemnify and hold the Company and its affiliates, officers, directors, and employees harmless from any and all claims, demands, losses, liabilities, and expenses (including attorneys' fees) arising out of or in connection with: (i) your use of the Services; (ii) your breach of any of these Terms; or (iii) your violation of the rights of any third party, including Drivers.

10. Privacy

Our collection and use of your personal information in connection with the Services is described in our Privacy Policy. In the event of a merger, sale, or other business transaction, we may transfer your data to the relevant successor entity, which shall be bound to protect your information in accordance with applicable law.

11. Governing Law and Jurisdiction

These Terms shall be governed by the laws of India. Any controversy, claim, or dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts in KAITHAL, Haryana, India.

12. Miscellaneous

* Force Majeure: The Company shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control.

* Severability: If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall be enforced to the fullest extent under law.

* No Waiver: The Company’s failure to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.
